Well, none of this helps to tell me what to tell you. Anyone who answers is going to have to know which processor, INTEL or AMD and what KIND of processor, before they can give you a clue on a motherboard. Without knowing which brand or socket type, we cannot answer the question.
I see yhou have a micro atx case, do you still want to stick with micro atx or are you willing to migrate to a standard atx motherboard which means you will have to buy a new standard atx case?
I think your memory is way too low, either for XP or Vista. I recommend at least 2 gigs of RAM.
I think your power supply is a little too small to be running even a single PCIe graphics card. I would recommend going up to 600 - 650 Watts. Also, the PSU only has a single ball bearing in the fan, so its going to wear out a lot faster. Make sure that if you upgrade the psu, you get one with dual ball bearings, which last a lot longer...or you can open the psu box yourself and carefully replace the stock fan with a new dual bearing fan...If you do this, DO NOT TOUCH ANY OF THE CAPACITORS or you will get a major shock!
You should come back here and post what kind of processor you have, Intel or AMD and then tell us what the model of the processor is so we know which socket is required. This will tell us what kind of motherboard will work for you.
The proccessor is going to be a Intel Core 2 Quad Processor Q6600
